BY CHECKING THE CHECKBOX OR BY ACCESSING, BROWSING, SUBMITTING INFORMATION TO, AND/OR USING THE SERVICES (DEFINED BELOW), YOU AGREE AND ACKNOWLEDGE ON YOUR OWN BEHALF THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THIS EULA AND TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THIS EULA, DO NOT USE THE SERVICES.
This is a legal agreement between the user of our Services (a “User”) and WISEcode LLC (“WISEcode™”). WISEcode™ provides its platform and services including, WISEcode™ Intelligence and its related services, and all software, media, materials, and online or electronic documentation associated with the foregoing (collectively, the “Services”).
WISEcode™ strives to provide accurate and reliable information regarding the contents of food products and works collaboratively with consumers, brands, the food industry, and governmental agencies to enhance transparency in the food ecosystem. The Services may allow users, including brands, to claim product listings and submit or update product information, including ingredient and nutrition data. The information provided by WISEcode™ is based on scientific analysis and estimation methods and is intended for informational purposes only. While WISEcode™ seeks to ensure the quality and accuracy of its data, all findings are estimates and are not guaranteed to be complete, accurate, or free from error. Any reliance User places on such information is strictly at User’s own risk. WISEcode™ disclaims all liability and responsibility arising from any reliance placed on such data and content by User or any other visitor to the Services, or by anyone who may be informed of any of its contents.
Provided that User complies with all terms and conditions of this EULA, WISEcode™ hereby grants User a limited, non-exclusive, non-transferable, non-assignable, revocable license for User to access and use the Services (including any data, material, content or other information contained on the Services) solely for User’s own internal purposes, at all times pursuant to this EULA.
Users may be given or may create a password or other means of authentication to access the Services. Users are responsible for maintaining the confidentiality and security of their account. When creating an account, Users agree to provide WISEcode™ with accurate and complete information and detail, as required, and to keep it up to date. Users are responsible for all activities that occur under their account. WISEcode™ is not responsible for any loss that Users may incur as a result of any unauthorized person using their account.
Term. This EULA shall remain in effect unless earlier terminated as permitted hereunder (the “Term”).
Termination. If any Underlying Agreement (defined below) between WISEcode™ and User’s employer, business, or organization is terminated or expires, WISEcode™ may immediately terminate this EULA and User’s access to the Services. If User materially breaches this EULA, WISEcode™ may terminate this EULA for cause. Upon termination of the EULA, User must stop using the Services and destroy any copies of Services and Intellectual Property (as defined below) within User’s control.
Suspension. WISEcode™ may suspend access to the Services (including by temporarily revoking access, as applicable) in case of: (i) WISEcode™ becoming aware of what WISEcode™ deems a credible claim that User’s use of the Services violates any applicable law, rules or regulations or infringes upon third party rights; (ii) User’s use of the Services in violation of this EULA or any Underlying Agreement, or in a manner that interferes with the provision of the Services; or (iii) in any event where WISEcode™ is entitled to terminate this EULA for cause.
Effect of Termination. In the event of the termination of this EULA, the license granted hereunder shall immediately terminate and User shall immediately cease accessing and using the Services. Termination of this EULA shall be without prejudice to any other right or remedy to which WISEcode™ may be entitled under this EULA or applicable law. Termination of this EULA shall not relieve User from any obligations arising hereunder before termination of this EULA or which survive termination of this EULA.
In connection with WISEcode™’s license of the Services, the parties acknowledge and agree that WISEcode™ is expressly not selling to User, and User is not acquiring any right, title or interest in or to, any patents, copyrights, trade secrets, trademarks, service marks, trade names, or the company name of WISEcode™ (collectively, “WISEcode™ Intellectual Property”), but that User is granted only a license by WISEcode™ to use the Services in the form provided by WISEcode™ and for no other purposes. User acknowledges and agrees that its user license is personal to User and may not be shared with any other individual or entity. User shall comply in full with all applicable laws, rules and regulations. User shall not, and shall not attempt to:
User owns all right, title, and interest, including all intellectual property rights, in and to the User Data (defined below). User represents that User has all rights necessary to provide and disclose User Data on the Services and that it will not violate any third party right, including any intellectual property right. User further agrees that User Data will not be obscene, harmful, unlawful, or otherwise violate any applicable regulations and, unless expressly agreed in writing by WISEcode™. User grants to WISEcode™ a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the User Data for WISEcode™’s own legitimate business purposes, including to perform all acts with respect to the User Data as may be necessary for WISEcode™ to provide the Services to User. “User Data” means information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of User through the Services.
Notwithstanding the foregoing, the Services may allow User to submit, edit, or otherwise update information and details regarding certain products, including ingredients, nutritional data, and other food related information (collectively, “Product Information”). By submitting or updating any Product Information through the Services, User represents and warrants that such Product Information is accurate, complete, current, and not misleading. User acknowledges and agrees that we do not independently verify any Product Information User provides or updates, and we shall have no responsibility or liability arising from or related to such Product Information, or any use or reliance thereon by User, User’s customers, or any third party. In addition to User’s other indemnification obligations under these Terms, User agrees to defend, indemnify, and hold harmless WISEcode and the WISEcode Indemnified Parties from and against any and all Losses arising out of or relating to any Product Information User submits or updates through the Services.
WISEcode™ may collect, use and disclose aggregated and de-identified data such as statistical or demographic data for any purpose. Aggregated and de-Identified data could be derived from Users’ personal information but is not considered personal information as this data will not directly or indirectly reveal Users’ identity.
USER’S ACCESS TO AND USE OF THE SERVICES IS PROVIDED “AS IS” AND “WITH ALL FAULTS”. NO WARRANTY OR CONDITION, EXPRESS OR IMPLIED, IS MADE WITH RESPECT TO THE SERVICES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION, OR NON-INFRINGEMENT. WISECODE™ DOES NOT GUARANTEE THE ACCURACY, VALIDITY OR COMPLETENESS OF ANY INFORMATION, MATERIAL OR RESULTANT OUTPUT AVAILABLE UPON OR DERIVED FROM THE SERVICES. WISECODE™ PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE SERVICES WILL MEET THE USER’S REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.
WITHOUT LIMITING THE GENERALITY FOREGOING, SUMMARIES, GUIDANCE, AND OTHER OUTPUTS (“OUTPUTS”) PROVIDED THROUGH ANY ARTIFICIAL INTELLIGENCE PRODUCTS AND FEATURES THAT MAY BE AVAILABLE THROUGH THE SERVICES (“AI FEATURES”) MAY NOT ALWAYS BE ACCURATE. USER SHOULD NOT RELY ON SUCH OUTPUTS AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. IT IS USER’S RESPONSIBILITY TO EVALUATE THE OUTPUTS FOR ACCURACY AND APPROPRIATENESS FOR USER’S USE CASE, INCLUDING USING HUMAN REVIEW AS APPROPRIATE, BEFORE USING, MODIFYING, OR OTHERWISE RELEASING SUCH OUTPUTS FROM THE SERVICES.
USER’S SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY DISSATISFACTION BY USER WITH RESPECT TO THE SERVICES IS TO DISCONTINUE OPERATING, ACCESSING AND USING THE SERVICES. IN NO EVENT SHALL WISECODE™ HAVE ANY LIABILITY TO USER ARISING IN CONNECTION WITH OR UNDER THIS EULA (WHETHER UNDER THE THEORIES OF BREACH OF CONTRACT, TORT, MISREPRESENTATION, FRAUD, WARRANTY, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER THEORY OF LAW). THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
The Services and all WISEcode™ Intellectual Property (including any data, material, content, training materials, templates, or other information contained on the Services) is the intellectual property of and is owned or licensed by WISEcode™. The structure, design, and organization of the Services are the exclusive property, valuable trade secrets and confidential information of WISEcode™ and title to the Services shall at all times remain with WISEcode™.

Any information or services provided by WISEcode™ should not be construed as legal advice. The resources and other content provided through the Services are for informational purposes and are not guaranteed to meet all legal, regulatory, or compliance requirements applicable to User or its employer, organization, or jurisdiction. WISEcode™ makes no representations or warranties, express or implied, regarding the completeness, accuracy, or suitability of the content for compliance purposes.
User shall indemnify, defend and hold harmless WISEcode™ and its affiliates, employees, agents, officers, directors, shareholders, members, representatives, successors and assigns from and against any loss, liability, cause of action, cost or expense (including reasonable attorneys’ fees) arising from, in connection with or related to: (i) the breach of this EULA by User; (ii) the acts and omissions of User in connection with access to and use of the Services; and (iii) the violation, infringement or misappropriation by User of the intellectual property, proprietary or other rights of WISEcode™ or any third party.
This EULA is governed, construed and enforced in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of laws that would permit or cause the application of the laws of any other jurisdiction. Jurisdiction and venue for all actions arising under this EULA shall be in the federal and state courts located in New York, New York.
This EULA and any underlying agreement with User’s employer, business, or organization (the “Underlying Agreement”) constitutes the entire agreement between User and WISEcode™ relating to the subject matter of this EULA and supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the subject matter of this EULA. In the event of a conflict between this EULA and the Underlying Agreement, the Underlying Agreement will control. In the event that any part of this EULA is determined to violate any applicable federal, state, local or foreign laws, rules or regulations, then the remaining provisions of this EULA shall remain in full force and effect and shall be enforced to the fullest extent permitted by law. A waiver of any provision of this EULA shall only be effective if in a writing signed by the party against which the waiver is claimed. This EULA may not be assigned by User without the prior written consent of WISEcode™. This EULA may be assigned by WISEcode™, by operation of law or otherwise, without the consent or approval of User or any other person, firm or entity. This EULA may be amended, modified or changed from time to time by WISEcode™ in WISEcode™’s sole discretion. User’s continued use of the Services will serve as User’s consent to any amendments. User agrees that access to and use of the Services will not be provided by User or any employee or agent of User to any citizen of a country to which access or use thereof is barred, or to which exports or shipments are barred, by the United States government.
